The Grandholm Village Residents Association

Constitution

 

 

NAME OF THE ORGANISATION
The name of the organisation shall be Grandholm Village Residents Association.

AIMS OF THE ORGANISATION
1. Promote the interests of the residents in Grandholm Village, Aberdeen
2. Promote social activities for all members of the association.
3. Work with the appointed factor to set the factoring fee on behalf of the Village.
4. Manage, maintain and promote the relationship between the residents association and the appointed factor.
5. Provide a focal point for the residents association and the appointed factor.
6. Facilitate communication between the residents association and the appointed factor.
7. Monitor the service provided by the appointed factor.
 

MEMBERSHIP
Membership shall be open to all authorised residents of Grandholm Village (i.e. flat/townhouse/house), regardless of nationality, political party, race, gender, or religious opinions.


MEMBERSHIP FEE/SUBSCRIPTION
There is no membership fee, however, any reasonable costs associated with maintaining the association are funded out of the factoring fee.

THE COMMITTEE

a. A committee shall be elected to carry out the business of the Association, including the managements of the affairs and funds of the association.
b.
The committee shall be made up of a Chairperson, Secretary, Treasurer and 15 general members.
c.
The committee shall be elected at the Annual General Meeting. Vacancies arising through the year can be filled by elections at General Meetings.
d.
Officers shall carry out the duties given to them at General Meetings.
e.
The committee shall meet once a month, and no less than 6 times per year.
f.
Minutes of committee meetings shall be available to all members.
g.
The committee can introduce or appoint new members as required.

 

ANNUAL GENERAL MEETING

a. There shall be an Annual General Meeting held every year at which the committee will report on its work, present a statement of accounts and stand down to seek re-election.
b.
The AGM shall elect a new committee, vote on recommendations and any amendments to the constitution.
c.
The secretary will notify all members of the date of the meeting not less than 14 days before the AGM.

 

OTHER GENERAL MEETINGS

a. General Meeting open to all members and held as necessary.
b.
A Special General Meeting open to all members will be held if 5 or more members submit in writing a request for such a meeting to the secretary. The secretary shall arrange for the meeting to take place within 14 days.
c.
The secretary will publicise all General Meetings at least 5 days in advance.

 

QUORUM
No General Meeting or Annual General Meeting shall take place if less than 12 members are present. No committee meeting shall take place if less than 2 office bearers and 10 general members of the committee are present.

CHANGES TO THE CONSTITUTION

a. The constitution can be altered at an AGM.
b.
Any suggested changes must be handed to the secretary 14 days before the AGM.
c.
Changes must be agreed by two thirds of the members present at the meeting.

 

DISSOLUTION

a. The Association may only be dissolved at a Special General Meeting called for that purpose and must be advertised 14 days before the meeting.
b.
A proposal to dissolve the association shall take effect only if agreed by two thirds of the members present at the meeting.
c.
Funds and possessions will be disposed of according to the wishes of the meeting.

 

AMENDMENTS TO CONSTITUTION:
An association can amend their constitution at the Annual General Meeting or a special meeting. To make such changes two thirds of the associations members should be present.

The association must not discriminate on the grounds of nationality, political opinion, ethnic and cultural background, religious opinion, sex, sexuality or disability.
